Management of the group (as of the end of the fiscal year in April 2015)

SHAREHOLDERS
On 11 July 2014, Europe Invest, a company controlled by the Descours and Mulliez families,
acquired 83.3% of the share capital of Codic International, following a transfer agreement
regarding all shares held by Compagnie du Bois Sauvage, Finaxer, Rebelco, Mobilière et
Immobilière du Centre and Espace & Management.
Emabe Invest, a company owned by Thierry Behiels, CEO of the CODIC Group, accompanied
the operation, reinvesting 16.7% of Codic International’s capital.

BOARD OF DIRECTORS
The Board of Directors consists of seven members, appointed for a six-year term. Each
Director may be re-elected.
The Board meets as many times as necessitated by the company’s activities and by those
of the Codic Group; in 2014-15 they met eleven times.

EXECUTIVE COMMITTEE

The Board of Directors appointed an Executive Committee, delegating its management

powers over the company to the committee, except for:

• the Codic Group’s general and strategic policy;

• approval of the accounts;

• all issues reserved to the Board of Directors by law or in the statutes;

• preparation of the annual budget and of multiannual plans;

• any investment decision involving more than 5 million euros.

The Executive Committee consists of six members:

DAY-TO-DAY MANAGEMENT
